Local Business Profile Terms of Service

Article 1 (Definitions)
In these Terms, the following words have the meanings below: Company (ILB Holdings, LLC), Service (Local Business Profile and related features), User (a legal entity or sole proprietor using the Service for business purposes), LBP Page (profile, service, and job pages published under Company-managed domains), Content (all text, image, video, inquiry, and related data submitted by Users), AI Features (AI draft assistance and AI Chat), and Ads services (optional advertising delivery management).
Article 2 (Registration and Consent)
Users shall register by the method designated by the Company. Authentication may include third-party identity providers (currently Google Sign-In). Users must provide accurate and up-to-date information.
The Service is offered only for business use. When creating a Business, the User must expressly confirm that the application is for business purposes and accept the version of these Terms and billing terms shown at that time. The Company records the accepted document version, date and time, User, Business, contract entity, and language.
The Company may notify Users of minor changes, such as corrections or feature clarifications, by email or dashboard notice. Material changes to pricing, contract entity, liability, data use, or similar terms may require renewed acceptance before the next renewal or contract operation. Pending renewed acceptance alone does not immediately unpublish an existing page.
Article 3 (Service Scope)
- Creation and operation of profile, service, job, case, and news pages
- Publishing pages under Company-managed domains
- AI Features, Instagram integration, and optional Ads services
The Company may change, add, or discontinue features without prior notice for legal, operational, or product reasons.
Article 4 (Fees, Trial, and Billing)
Fees, billing cycles, trial conditions, and tax handling shown in the dashboard and billing screens are the source of truth.
New users may receive a 14-day free trial. If no paid contract is completed after the trial, pages become unpublished, while data is retained per policy.
LBP paid plans are monthly subscriptions. Standard cancellation takes effect at period end, and service remains available until the next renewal date. Ads services are billed weekly in arrears and include ad spend and Google Ads management fees.
AI Features may be subject to usage, request, or processing limits based on the contract, actual usage, third-party AI provider limits, cost controls, security, and operational safety. The Company may limit or temporarily suspend part of the AI Features in case of sustained high-volume use, limit overage, abnormal use, third-party AI provider restrictions, cost spikes, incidents, or security needs. Additional generation, continued high-volume use, or limit increases may require additional fees or a separate agreement.
No prorated refund is provided for mid-period cancellation unless required by law or separately agreed in writing.
Article 5 (Prohibited Conduct)
- Violation of law or public order and morals
- False information or infringement of third-party rights
- Listing or advertising illegal drugs, weapons or explosives, sexual services or exploitation, assistance with crime, fraud, counterfeiting, unauthorized access, or other illegal goods or services
- Unauthorized access or excessive system load
- Involvement with anti-social forces
- Unauthorized transfer, lending, or misuse of accounts
Article 6 (Rights and AI Data Handling)
Rights in User Content remain with the User or lawful rightsholder. The User grants the Company a non-exclusive license to use such content as necessary to provide, operate, maintain, and improve the Service.
The User is solely responsible for obtaining any rights or permissions required to publish Content (including customer photo/testimonial permissions and local legal compliance). The Service manages only publish/unpublish status and does not verify each individual consent record.
When submitting reference URLs, materials, or other third-party content to AI Features, the User must confirm the rights or other lawful basis required for that use and must review and revise AI output before publication or business use so that it does not infringe third-party copyrights or other rights.
The User is responsible for the accuracy, rights, qualifications, prices, outcome claims, disclaimers, and other legally required disclosures in Content supplied or approved by the User. Company advisories, AI assistance, and technical Ads checks do not guarantee legal compliance or approval by an advertising provider.
The Company does not use User AI inputs or outputs to train or retrain machine learning models.
AI outputs are not guaranteed to be complete, accurate, lawful, or fit for the User's purpose. Users must review AI outputs for content, rights, and legal compliance before publishing or using them in business operations.
Article 7 (Third-Party Service Integrations)
Integrations (including Instagram) are subject to third-party terms and availability. The Company is not liable for losses caused by third-party outages, changes, or service termination.
Article 8 (Disclaimer and Liability Limitation)
The Service is provided on an as-is basis without warranties of completeness, accuracy, availability, merchantability, or fitness for a particular purpose.
To the extent permitted by law, Company liability is limited to direct and ordinary damages up to the average monthly fee paid by the User during the three months preceding the event causing damage, except in cases of willful misconduct or gross negligence.
Article 9 (Suspension and Termination)
The Company may suspend access, limit functions, or terminate the contract without prior notice in case of policy breach, non-payment, fraud, severe security risk, or other legitimate operational reasons.
The Company may refuse, restrict, or stop listing or Ads delivery when required by Content, qualifications, an advertising provider policy, or applicable law.
When limiting or temporarily suspending AI Features, the Company will provide prior notice where reasonably possible. Notice may be given after the fact for urgent responses, third-party AI provider limits, incidents, security responses, or other unavoidable circumstances.
Users may cancel via the contract management screen. Post-cancellation data handling is governed by the Privacy Policy and Data Deletion Policy.
Article 10 (Governing Law and Venue)
These Terms are governed by Delaware law. The courts of Delaware shall have exclusive jurisdiction as the court of first instance, unless mandatory law provides otherwise.
